The description of the common shares (“Shares”) representing fractional undivided beneficial interest in VanEck Ethereum Trust (the “Registrant”) to be registered hereunder is set forth in and incorporated herein by reference to Amendment No. 4 to the Registrant's Registration Statement on Form S-1, as filed with the U.S. Securities and Exchange Commission (the “Commission”) on June 21, 2024 (File No. 333-255888) and all amendments and supplements to such registration statement subsequently filed with the Commission, including any prospectus relating thereto filed subsequently pursuant to Rule 424(b) of the Securities Act of 1933, as amended.
