Entry into a Material Definitive Agreement
On February 5, 2025, FBS Global Limited (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with WallachBeth Capital LLC, as representative of the underwriters (the “Representative”), in connection with its initial public offering (the “IPO”) of 2,250,000 ordinary shares, par value US$0.001 per share (the “Shares”) at a price of US$4.50 per share (the “Offering Price”).
Pursuant to the Underwriting Agreement, in exchange for the Representative’s firm commitment to purchase the Shares, the Company granted the Representative a 45-day over-allotment option to purchase up to an additional 337,500 ordinary shares of the Company at the Offering Price, representing fifteen percent (15%) of the ordinary shares sold by the Company in the Offering, less underwriting discounts and a non-accountable expense allowance. The Underwriting Agreement contains customary representations and warranties that the parties thereto made to, and solely for the benefit of, the other party in the context of all of the terms and conditions of that Underwriting Agreement and in the context of the specific relationship between the parties. The provisions of the Underwriting Agreement and schedules and exhibits thereto, including the representations and warranties contained therein respectively, are not for the benefit of any party other than the parties to such documents and agreements and are not intended as documents for investors and the public to obtain factual information about the current state of affairs of the parties to those documents and agreements. Rather, investors and the public should look to other disclosures contained in the Company’s filings with the U.S. Securities and Exchange Commission (the “SEC”). The Company’s registration statement on Form F-1 (File No. 333-283619) for the IPO, originally filed with the SEC on December 5, 2024 (as amended, the “Registration Statement”) was declared effective by the SEC on February 5, 2025.
The Shares began trading on the Nasdaq Capital Market on February 6, 2025, under the ticker symbol “FBGL.” The Offering closed on February 7, 2025. The total net proceeds to the Company from the IPO, net of underwriting discounts, expenses and expense allowances, were approximately $9.4 million. A final prospectus relating to the IPO was filed with the SEC on February 5, 2025.
The Company’s officers, directors, and certain of its shareholders have agreed, not to offer, issue, sell, contract to sell, encumber, grant any option for the sale of or otherwise dispose of any ordinary shares or other securities convertible into or exercisable or exchangeable for ordinary shares for a period of six (6) months from the effective date of the Registration Statement, without the prior written consent of the Representative.

In connection with the IPO, the Company issued a press release on February 5, 2025 announcing the pricing of the IPO and a press release on February 7, 2025 announcing the closing of the IPO.
