Item 2.02 Results of Operations and Financial Condition.
On May 12, 2009, TXCO Resources Inc. (the “Company”) filed a notification of late filing on Form 12b-25 with regard to its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2009. A copy of the notification is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

(b) In connection with its continued efforts to reduce force in order to reduce costs, the Company terminated P. Mark Stark, Vice President, Treasurer and Chief Financial Officer, and James J. Bookout, Vice President and Chief Operating Officer, effective May 7, 2009.
