Item 2.02. Results of Operations and Financial Condition.
On February 11, 2009, Lance, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter ended December 27, 2008. A copy of the press release is furnished as Exhibit 99.1 hereto and incorporated herein by reference. The Company will hold an investor conference call on February 11, 2009 to discuss its financial results for the fourth quarter of 2008. The press release contain forward-looking statements regarding the Company and include cautionary statements identifying important factors that could cause actual results to differ materially.

Frank I. Lewis, Senior Vice President of Lance, Inc., retired from Lance, Inc., effective February 9, 2009, upon approval of his retirement prior to age 65 by the Compensation Committee of the Board of Directors.

On February 10, 2009, the Company issued a press release announcing the declaration of a regular quarterly dividend. A copy of the press release is attached as Exhibit 99.2 hereto and incorporated herein by reference.
