We are offering $ million of our First Mortgage Bonds, 3.85% Series due June 1, 2049, referred to in this prospectus supplement as the “new bonds.” We will pay interest on the new bonds semi-annually in arrears on June 1 and December 1 of each year. Interest on the new bonds will accrue from June 5, 2019. The first interest payment on the new bonds will be made on December 1, 2019. The new bonds will be a further issuance of, will have the same CUSIP number as, will be fungible with and will be consolidated and form a single series with, our First Mortgage Bonds, 3.85% Series due June 1, 2049 issued on June 5, 2019 in the aggregate principal amount of $300 million, which are referred to in this prospectus supplement as the “original bonds” and, together with the new bonds, as the “bonds.” Upon the issuance of the new bonds, the aggregate principal amount of outstanding First Mortgage Bonds, 3.85% Series due June 1, 2049 will be $ million.
The bonds will be redeemable at our option, in whole or in part, (i) at any time prior to December 1, 2048 at the make-whole redemption price described in this prospectus supplement, and (ii) at any time on or after December 1, 2048, prior to maturity of the bonds, at a redemption price equal to 100% of the principal amount of the bonds being redeemed, plus, in each case, accrued and unpaid interest thereon to the redemption date. The bonds will be issued in denominations of $1,000 and integral multiples of $1,000 in excess thereof.
As described in the accompanying prospectus, the bonds are a series of first mortgage bonds issued under our mortgage and deed of trust, which has the benefit of a first mortgage lien on substantially all of our property.
