On January 23, 2019, Cortland Bancorp (the “Company”) issued a news release reviewing the Company’s financial results for the quarter and year ended December 31, 2018. A copy of this news release is included as Exhibit 99.1 and incorporated herein by reference.

Item 8.01    Other Events.

In a press release issued on January 23, 2019, President James M. Gasior announced that in its meeting on January 22, 2019, the Board of Directors of Cortland Bancorp (the “Company”) has declared a dividend of $0.11. The dividend is payable on or after March 1, 2019 to shareholders of record as of February 11, 2019. In addition, a special dividend of $.05 per share was declared, also payable on March 1, 2019 to shareholders of record as of February 11, 2019. The press release is included as Exhibit 99.2 to this current report on Form 8K.
