Item 2.02 Results of Operations and Financial Condition.
On September 2, 2005, Piedmont Natural Gas issued a press release to report financial results for the third quarter ended July 31, 2005. A copy of the press release is attached as an exhibit to this Form 8-K.
Item 8.01 Other Events.
On September 2, 2005, Piedmont Natural Gas issued a press release to report the declaration of a cash dividend on common stock of 23 cents per share payable October 14, 2005, to holders of record on September 23, 2005.
The press release noted in Item 2.02 above also reaffirmed fiscal year 2005 earnings guidance of $1.23 to $1.30 per diluted share.
