ITEM 2.02. Results of Operations and Financial Condition
Citizens & Northern Corporation announced the unaudited, consolidated financial results for Citizens & Northern Corporation and subsidiaries for the three-month and annual periods ended December 31, 2009. On January 25, 2010, Citizens & Northern Corporation issued a press release titled “C&N Announces Fourth Quarter 2009 Unaudited Financial Results,” a copy of which is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. Also, Citizens & Northern Corporation’s “Quarterly Report,” a report that includes unaudited financial information, will be mailed to shareholders on or about January 27, 2010.
