Adjusted Treasury Rate | “Adjusted treasury rate” means, with respect to any redemption date, the rate per year equal to the semi-annual equivalent yield to maturity of the comparable treasury issue, assuming a price for the comparable treasury issue (expressed as a percentage of its principal amount) equal to the comparable treasury price for such redemption date. |

Comparable Treasury Issue | “Comparable treasury issue” means the U.S. Treasury security selected by the quotation agent as having a maturity comparable to the remaining term of the Notes to be redeemed that would be utilized, at the time of selection and in accordance with customary financial practice, in pricing new issues of corporate debt securities of comparable maturity to the remaining terms of the Notes. |

Payment of Additional Amounts | All payments on the Notes will be made without deducting United Kingdom (“UK”) withholding taxes, except as required by law. If any such deduction is required on payments to non-UK investors, we will pay additional amounts on those payments to the extent described under “Description of Debt Securities We May Offer—Payment of Additional Amounts” in the prospectus. Notwithstanding the foregoing, any amounts to be paid on the Notes by us, or on our behalf, will be paid net of any deduction or withholding imposed or requirement pursuant to an agreement described in Section 1471(b) of the U.S. Internal Revenue Code of 1986, as amended (the “Code”), or otherwise imposed pursuant to Sections 1471 through 1474 of the Code (or any regulations thereunder or official interpretations thereof) or an intergovernmental agreement between the United States and another jurisdiction facilitating the implementation thereof (or any fiscal or regulatory legislation, rules or practices implementing such an intergovernmental agreement) (and any such withholding or deduction, a “FATCA Withholding”). Concurrent Tender Offers | On June 25, 2024, we announced (i) cash tender offers (the “Dollar Tender Offers”) for any and all of our outstanding 4.125% Notes due May 2025 (the “2025 Dollar Notes”), up to $440,000,000 aggregate principal amount of our outstanding 6.150% Notes due February 2037 (the “2037 Dollar Notes”), and up to $730,000,000 aggregate principal amount of our outstanding 4.375% Notes due February 2043 (the “2043 Dollar Notes,” together with the 2025 Dollar Notes and the 2037 Dollar Notes, the “Dollar Tender Notes”); and (ii) cash tender offers (the “Euro Tender Offers,” together with the Dollar Tender Offers, the “Concurrent Tender Offers”) for any and all of our outstanding 1.88% Notes due September 2025 (the “September 2025 Euro Notes”), 1.125% Notes due November 2025 (the “November 2025 Euro Notes”) and 2.2% Notes due August 2026 (the “2026 Euro Notes,” together with the September 2025 Euro Notes and the November 2025 Euro Notes, the “Euro Tender Notes”). We expect to purchase the Dollar Tender Notes and the Euro Tender Notes validly tendered and not validly withdrawn, subject to the conditions of the Dollar Tender Offers and the Euro Tender Offers, respectively. The Dollar Tender Offers are made pursuant to an offer to purchase dated June 25, 2024, and the Euro Tender Offers are made pursuant to a tender offer memorandum dated June 25, 2024. The Concurrent Tender Offers are conditioned on, amongst other things, the completion of this offering. The offering of the Notes is not contingent on the consummation of the Concurrent Tender Offers or any minimum amount of tenders in the Concurrent Tender Offers. |
Use of Proceeds (after deducting underwriting discounts but not estimated expenses) | We intend to use the net proceeds from this offering (i) to fund the purchase of the 2025 Dollar Notes, of which $1,500,000,000 is outstanding, up to $440,000,000 aggregate principal amount of the 2037 Dollar Notes, up to $730,000,000 aggregate principal amount of the 2043 Dollar Notes and the Euro Tender Notes, of which a total of €3,750,000,000 is outstanding, pursuant to the Concurrent Tender Offers; and (ii) for general corporate purposes.
