Item 2.02. Results of Operations and Financial Condition

On April 11, 2013, New Hampshire Thrift Bancshares, Inc. issued a press release announcing its financial results for first quarter of 2013. The press release also announced the declaration of a regular cash dividend of $0.13 per share. A copy of the press release is furnished as Exhibit 99.1 hereto and is hereby incorporated by reference into this Item 2.02.
