ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On April 27, 2006, The Quigley Corporation (the "Company") issued a
press release announcing its financial results for the first quarter ended March
31, 2006. The full text of the press release is attached hereto as Exhibit 99.1.
The information furnished pursuant to Item 2.02 of this Current Report
on Form 8-K, including Exhibit 99.1 hereto, shall not be considered "filed" for
