Item 2.02 | Results of Operations and Financial Condition |
On May 21, 2019, Monro, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter and fiscal year ended March 30, 2019 and provided its guidance for fiscal 2020. A copy of the press release is furnished herewith as Exhibit 99.1 to this Current Report on Form8-K.
Item 8.01 | Voluntary Disclosure of Other Events |
The Company announced that its Board of Directors initiated an increased cash dividend for fiscal 2020 of $.88 and declared a cash dividend for the first quarter of fiscal 2020 of $.22 per share on the Company’s outstanding shares of common stock. Further details are contained in the press release furnished as Exhibit 99.1.
The Company also confirmed that, in the first quarter of fiscal 2020, it completed the previously announced acquisition of 40 retail stores and one distribution center in California and 12 retail stores in Louisiana. Each acquisition represented entry into a new state for the Company. Further details of these acquisitions are contained in the press release furnished as Exhibit 99.1.
The Company will hold its 2019 Annual Meeting of Shareholders on Tuesday, August 13, 2019 at 9:00 a.m. at the Strathallan Hotel in Rochester, New York. The record date for the Annual Meeting is June 24, 2019.
