Item 2.02 Results of Operations and Financial Condition.
| On November 3, 2005, the Company issued a press release reporting its sales results for the fiscal month of October 2005 and its third fiscal quarter ended October 29, 2005. In addition, the Company provided additional information related to its expected third fiscal quarter net loss and discontinuance of its quarterly dividend.
