Item 2.02. Results of Operations and Financial Condition

On April 26, 2019, WisdomTree Investments, Inc. (the “Company”) issued a press release announcing its financial results for the three months ended March 31, 2019. A copy of the press release containing this information is being furnished as Exhibit 99.1 to this Report on Form8-K and is incorporated herein by reference.

The information furnished pursuant to this Item 2.02, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities under that Section and shall not be deemed incorporated by reference into any filing of the Company under the Securities Act of 1933, as amended.

Item 8.01. Other Events

On April 24, 2019, the Company’s Board of Directors declared a quarterly cash dividend of $0.03 per share of common stock, payable on May 22, 2019 to stockholders of record as of the close of business on May 8, 2019.

The Board also extended the term of the Company’s share repurchase program through April 27, 2022. As of March 31, 2019, $83.7 million remained under this program for future purchases, which will include purchases to offset future equity grants made under the Company’s equity plans and will be made in open market or privately negotiated transactions. This authority may be exercised from time to time and in such amounts as market conditions warrant, and subject to the terms of the Company’s credit agreement and regulatory considerations. The timing and actual number of shares repurchased will depend on a variety of factors including price, corporate and regulatory requirements, market conditions, and other corporate liquidity requirements and priorities. The repurchase program may be suspended or terminated at any time without prior notice.
