Item 2.02. Results of Operations and Financial Condition.
On August 2, 2005, Haggar Corp. (together with its subsidiaries the “Company”) issued the press release attached hereto as Exhibit 99 and as required in “Item 9.01 Financial Statements and Exhibits.”
The information furnished under this “Item 2.02. Results of Operations and Financial Condition” is also intended to be furnished under “Item 7.01. Regulation FD Disclosure” in accordance with SEC Release No. 33-8400A.
The table following this narrative sets forth information concerning the quarterly and annual consolidated operating results of the Company for the fiscal year ended September 30, 2004, together with actual and projected quarterly and projected annual consolidated operating results for the fiscal year commencing October 1, 2004, and ending September 30, 2005. The projections for fiscal 2005 are based on the Company’s historical operating performance, current trends and the Company’s internal operating forecast for 2005.

(1) The first quarter fiscal 2005 results include a pre-tax increase of $2.5 million ($1.6 million after tax) as compared to the first quarter of fiscal 2004, due to increased media advertising expense incurred to introduce the ForeverNewä product line. The results for the first quarter of fiscal 2005 also include a non-recurring pre-tax reversal of a legal reserve of $0.3 million ($0.2 million after tax) to reorganization costs in connection with the successful appeal of a wrongful termination lawsuit.
(2) The results for the first and second quarters of fiscal 2005 include pre-tax charges of $1.7 million ($1.1 million after tax) and $0.3 million ($0.2 million after tax), respectively, in connection with a wrongful termination lawsuit.
(3) The results for the second quarter of fiscal 2005 include a pre-tax charge of $0.8 million ($0.5 million after tax) to reorganization costs for the closure of the two remaining Company-operated sewing facilities. The results for the third quarter of fiscal 2005 include a pre-tax charge for the remaining costs of closure of the sewing facilities of $0.8 million pre-tax ($0.5 million after tax).
(4) The results for the third quarter of fiscal 2005 include a non-recurring pre-tax reversal of a legal reserve of $2.6 million ($1.6 million after tax) to reorganization costs in connection with the successful appeal of a wrongful termination lawsuit. The third quarter of fiscal 2005 also includes a $0.5 million pre-tax gain ($0.3 million after tax) on the sale of a Company-owned apartment.
