State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Triad Guaranty Inc. (“Triad”) is unable to file its Annual Report on Form 10-K for the period ended December 31, 2007 (the “Annual Report”) within the prescribed time without unreasonable effort or expense. As previously disclosed in our Current Report on Form 8-K filed February 14, 2008, Triad has developed and is actively pursuing a plan to enhance its capital resources. As of the date of this filing, Triad is actively engaged in negotiations with a third party investor group regarding a potential transaction related to its capital enhancement efforts. Because Item 303 of Regulation S-K would require disclosure in the Annual Report of known commitments, events and uncertainties, including matters related to these negotiations that have not been finalized, Triad is unable to file its Annual Report within the prescribed time period. No assurance can be given that Triad will be successful in the ongoing negotiations or in securing additional capital in a timely manner, in sufficient amounts or on acceptable or favorable terms to Triad. Triad expects to file its Annual Report within the time period provided for by the filing of this Form 12b-25.
