Item 2.02 Results of Operations and Financial Condition.
On November 2, 2022, Steven Madden, Ltd. (the “Company”) issued a press release, furnished as Exhibit 99.1 and incorporated into this Item 2.02 by reference, announcing the Company’s financial results for the third quarter of its fiscal year ending December 31, 2022.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On November 1, 2022, the Company’s Board of Directors approved and adopted an amendment and restatement of the Company’s bylaws (the “Amended and Restated By-Laws”), effective immediately. Among the changes contained in the Amended and Restated By-Laws are the following:
| ● | requirement for a stockholder submitting a nomination notice to make a representation as to whether such stockholder intends to solicit proxies in support of director nominees other than the Company’s nominees in accordance with Rule 14a-19 under the Securities Exchange Act of 1934, as amended, and to provide reasonable evidence that certain requirements of such rule have been satisfied; |
| ● | requirement that a stockholder directly or indirectly soliciting proxies from other stockholders use a proxy card color other than white, which is reserved for the Company’s nominees; |
| ● | updated provision regarding notice of an adjournment of any meeting of stockholders; |
| ● | updated provisions regarding the availability of the list of stockholders entitled to vote at a stockholders meeting to align with recent changes to the Delaware General Corporation Law; and |
| ● | other immaterial or non-substantive administrative or clarifying changes. |

Item 8.01 Other Events.
The Company’s press release on November 2, 2022 also announced that the Company’s Board of Directors has declared a quarterly cash dividend of $0.21 per share on the Company’s outstanding shares of common stock. The dividend is payable on December 30, 2022 to stockholders of record as of the close of business on December 16, 2022.
