Item 2.02 Results of Operations and Financial Condition
On February 16, 2022, Socket Mobile, Inc. issued a press release reporting its results for the three and twelve months ended December 31, 2021. The full text of the press release is furnished as Exhibit 99.1.
Item 8.01 Other Events
On February 16, 2022, the Company announced that its board of directors has approved a stock repurchase program to permit the Company to repurchase up to $1.8 million worth of its issued and outstanding common stock (the “Repurchase Program”). Repurchases may be made at management’s discretion from time to time on the open market, including through 10b5-1 trading plans. The Repurchase Program will expire in March 2023 and may be suspended or discontinued by the Company at any time without prior notice. The Repurchase Program does not obligate the Company to acquire any of its common stock. The press release relating to this announcement is attached hereto as Exhibit 99.1 and incorporated herein by reference.
