On July 25, 2024, Noble Corporation plc (“Noble”) and Diamond Offshore Drilling, Inc (“Diamond”) issued a joint press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, in relation to the pending merger between Noble and Diamond, expired at 11:59 ET on July 24, 2024. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated by reference herein.
