P3 Health Partners Inc. (the “Company”) will not, without unreasonable effort and expense, be able to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “Form 10-K”) within the prescribed time period because the Company requires additional time to compile information to finalize the consolidated financial statements for the year ended December 31, 2023 (the “2023 Financial Statements”) and related disclosures contained in the Form 10-K, and to complete its closing procedures for the Form 10-K. The Company has determined that previously reported material weaknesses in the Company’s internal controls over financial reporting continue to exist as of December 31, 2023. Based on currently available information, and consistent with the disclosures in the Company’s most recently filed Quarterly Reports on Form 10-Q, management anticipates that it will be disclosing in the Form 10-K substantial doubt about the Company’s ability to continue as a going concern as the Company does not currently have sufficient cash resources to support its planned operations for at least 12 months from the expected issuance date of the 2023 Financial Statements contained in the Form 10-K. The Company intends to file the Form 10-K within the extension period of 15 calendar days as provided by Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
