MIM (US) currently act as the subadvisor to High Yield Fund, which has an investment objective and investment policies similar to those of the Fund.

As of the Record Date, the number of votes eligible to be cast at the Meeting with respect to Series I, Series II, and Series NAV shares of High Yield Trust, and the percentage ownership thereof by John Hancock Life Insurance Company (U.S.A.) and John Hancock Life Insurance Company of New York, and collectively by the Funds of Funds are set forth below:

The following table sets forth for the fiscal year ended December 31, 2023: (1) the aggregate amount of subadvisory fees paid by the Advisor to Western; (2) the pro forma aggregate amount of subadvisory fees that the Advisor would have paid to MIM (US) if the MIM (US) Subadvisory Agreement had been in effect; and (3) the difference between the amounts of subadvisory fees under (1) as compared to (2) stated as a percentage of the amount under (1).

The Subadviser shall serve as investment subadviser for the Portfolio of the Trust listed below. The Adviser will pay the Subadviser, as full compensation for all services provided under this Agreement with respect to the Portfolio, the fee computed separately for such Portfolio at an annual rate as follows (the “Subadviser Fee”):
