The Board held five meetings during the fiscal year ended December 31, 2023 (“Fiscal Year 2023”). Five of seven directors each attended, in person or by telephone, 100% of the meetings held by the Board and all directors each attended, in person or by telephone, at least 50% of the meetings held by the Board. Each director attended, in person or by telephone, 100% of the meetings held by the committees of the Board on which he or she served during Fiscal Year 2023. It is the Company’s policy that each director attends each annual meeting of the Company’s shareholders, either in person or by telephone. All the then incumbent Directors attended the annual meeting in Fiscal Year 2023.
