The following table presents the aggregate fees billed to each Fund for the fiscal years ended December 31, 2024 and December 31, 2023 by the independent registered public accounting firm for professional services rendered for the audit of each Fund’s annual financial statements and fees billed for other services rendered by the independent registered public accounting firm during these periods. No services described in the table below were approved by a Fund’s Audit Committee pursuant to the “de minimis exception” set forth in Rule 2-01(c)(7)(i)(C) of Regulation S-X.

To the knowledge of each respective Fund, based on filings made on Schedules 13D and 13G pursuant to Sections 13(d) and 13(g), respectively, of the Exchange Act, as amended, the following shareholders own 5% or more of a Fund’s Common Shares.*

The following table presents (i) the aggregate non-audit fees (i.e., fees for audit-related, tax, and other services) billed for services rendered to each Fund by each Fund’s independent registered public accounting firm for each of the two fiscal years ended December 31, 2024 and December 31, 2023, and (ii) the aggregate non-audit fees (i.e., fees for audit-related, tax, and other services) billed by each Fund’s independent registered public accounting firm for services rendered to Eaton Vance and any entity controlling, controlled by or under common control with Eaton Vance that provided ongoing services to each Fund for each of the two fiscal years ended December 31, 2024 and December 31, 2023.

The following table presents (i) the aggregate non-audit fees (i.e., fees for audit-related, tax, and other services) billed for services rendered to each Fund by each Fund’s independent registered public accounting firm for each of the two fiscal years ended December 31, 2023 and December 31, 2022, and (ii) the aggregate non-audit fees (i.e., fees for audit-related, tax, and other services) billed by each Fund’s independent registered public accounting firm for services rendered to Eaton Vance and any entity controlling, controlled by or under common control with Eaton Vance that provided ongoing services to each Fund for each of the two fiscal years ended December 31, 2023 and December 31, 2022.
