Explanation of Responses:

1. Award of restricted stock vesting on the one year anniversary of the date of grant. The closing price of the issuer's common stock on NASDAQ on such date was $8.84.

2. Represents shares held by TCW Sepulveda Long/Short Equity Fund I, L.P, and TCW Sepulveda Long/Short Equity Master Fund LTD (together, the "Funds"), which Funds are managed by Sepulveda Management LLC. Mr. Zhu is a principal of, and acts as a director of, Sepulveda Management LLC, and also holds certain limited partnership interests in the Funds. Mr. Zhu disclaims beneficial ownership of these shares to the extent of his pecuniary interest therein.
