ITEM 7.01 REGULATION FD DISCLOSURE.
Medallion Financial Corp. (the “Company”) intends to issue a press release to the news media to announce the signing of an Agreement and Plan of Merger to merge the Company’s subsidiary Medallion Taxi Media, Inc. with a subsidiary of the outdoor advertising division of Clear Channel Communications, Inc.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
