DEPARTURE OF DIRECTOR. On July 21, 2006, Stephen K. Necessary notified the Board of Directors of the Company that he will resign as a Class III Director of the Company effective as of September 30, 2006. Mr. Necessary noted that his decision was for personal reasons and not due to any disagreement with the Company on any matter relating to the Company's operations, policies or practices. Mr. Necessary has been a director of the Company since December 2004, and is a member of the Nominating and Compensation Committees of the Company's Board of Directors. The Company will begin a search to fill the vacancy created by Mr. Necessary's resignation as soon as practicable. James A. Luksch, the Company's Chief Executive Officer and Chairman of the Board of Directors, expressed the Board's and the Company's thanks to Mr. Necessary for his service to the Company.
