On November 25, 2003, we entered into an agreement to sell 3,000,000 shares of our common stock to a small group of investors at a price of $0.20 per share, or $600,000 in the aggregate. The sale will be made pursuant to an exemption from registration under the Securities Act of 1933, as amended. The closing is contingent upon the shares being registered for resale under that Act. A copy of the agreement is attached as Exhibit 4.7 to this report.
Exhibit 4.7 is a complete copy of this agreement.
