Re: | Administaff, Inc. Form 10-K for the period ended December 31, 2007 File No. 1-13998 |
1. | Please confirm that your auditor’s consent was signed on February 4, 2008, as opposed to February 4, 2007 (the date actually reflected on the filed consent). |
2. | We note your use of an executive compensation study which included an analysis of a peer group of companies. We also note your use of tally sheets in your compensation determinations. In future filings, discuss in more specific detail how this information was used in determining your total compensation package for your named executive officers. For example, if you targeted your total compensation for your named executive officers at the median for the total compensation paid at the peer group of companies, indicate so. |
• | the Company is responsible for the adequacy and accuracy of the disclosure in the filings;
• | Staff comments or changes to disclosure in response to Staff comments do not foreclose the Commission from taking any action with respect to the filings; and
• | the Company may not assert Staff comments as a defense in any proceeding initiated by the Commission or any person under the federal securities laws of the United States. |
Sincerely, | ||||
