Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 19, 2010, Mr. Shawn Landgraf had submitted his resignation, effective June 30, 2010, as Chief Executive Officer and as a Director, to our Board of Directors. Mr. Landgraf and the Board of Directors have consulted and agreed that it would be in the best interests of the Company for Mr. Landgraf to delay the effectiveness of his resignation for an additional two months so that he could continue to work with the Board in the transition period prior to the effectiveness of his resignation to provide assistance in negotiating and closing additional financing and strategic acquisition options.
