Represents shares of Class A common stock of DISH Network Corporation (the "Issuer") issued on December 13, 2019 pursuant to the exercise of subscription rights in connection with the Issuer's rights offering, as described in the Issuer's prospectus supplement filed with the Securities and Exchange Commission on November 22, 2019. Subscription rights were distributed on a pro rata basis to holders of eligible securities of the Issuer.

2. Includes shares acquired under the Company's Employee Stock Purchase Plan.
