On July 20, 2004, OYO Geospace Corporation issued a press release regarding the election of Mr. William H. "Hank" Moody and Mr. Ryuzo Okuto to fill the vacancies left by the resignations of Mr. Satoru Ohya and Mr. Ernest Hall Jr., who resigned from the board effective July 20, 2004. The board changes were related to new NASDAQ and Sarbanes-Oxley Act requirements. The press release is attached hereto as Exhibit 99.1.
