Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

With respect to the appointment of Richard F. Miles to the board of directors of Geospace Technologies Corporation (the "Company"), the following supplemental information is provided in connection with the Form 8-K filed by the Company on May 3, 2013 announcing the appointment.

Richard F. Miles's spouse, Christine R. Miles, is the president and owner of CMS Creative Marketing Services ("CMS"). CMS currently provides marketing support services to the Company, including product photography, video shoots, brochure design, magazine advertising, website design and various other marketing and advertising services. In addition, CMS also provides investor relations services such as annual report design and review and drafting of press releases and scripts. For the Company's 2012 fiscal year and 2013 fiscal year to date, payments for these services to CMS totaled approximately $125,000 and $97,000, respectively.
