On October 21, 2020, Tengasco, Inc. (“Tengasco”) and Riley Exploration – Permian, LLC (“Riley”) issued a joint press release announcing their entry into an Agreement and Plan of Merger (the “Merger Agreement”), by and among Tengasco, Riley, and Antman Sub, LLC (“Merger Sub”), a wholly owned subsidiary of Tengasco, pursuant to which Merger Sub will be merged with and into Riley, with Riley surviving that merger as a wholly-owned subsidiary of Tengasco. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
