2. This is a Restricted Stock Grant that vests 2/28/21. Upon vesting, subject to share withholding for taxes, the Class B stock is convertible by Mr. Smulyan into Class A Common Stock at any time and has no expiration.

3. One third of the options vest on this date, a third vest one year thereafter and the final vest on the third anniversary of the grant date.
