On May 13, 2020, the stockholders of Intevac, Inc. (the “Registrant”) approved the adoption of the 2020 Equity Incentive Plan (the “2020 Plan”) to replace the Registrant’s 2012 Equity Incentive Plan (the “2012 Plan”), which is scheduled to expire in 2022. This Registration Statement registers additional shares of the Common Stock of the Registrant to be issued pursuant to the 2020 Plan and to the Registrant’s 2003 Employee Stock Purchase Plan. The contents of the previous Registration Statements on Form S-8 filed by the Registrant with the Securities and Exchange Commission (the “Commission”) are incorporated by reference into this Registration Statement pursuant to General Instruction E of Form S-8.
