Explanation of Responses:

1. Grant of restricted stock, with 100% vesting on the first anniversary of the grant date, pursuant to the 2019 Omnibus Incentive Compensation Plan.

2. Holders of Class B Common Stock have four votes per share and holders of Class A Common Stock have one vote per share. Class B Common Stock is transferable only to certain transferees and is convertible into Class A Common Stock on a share-for-share basis.

3. The shares of Class B Common Stock listed are held pursuant to a Voting Trust Agreement dated February 23, 1994, as amended (the "Voting Trust"), among Robert C. Penny III, Robert W. Foskett and Patrick J. McDonough, Jr., as co- trustees, and certain members of the Penny family. The Voting Trust contains 120,656 shares of Class B Common Stock held for the benefit of Mr. Foskett.
