Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective June 23, 2008, George Monk resigned from his position as a member of the Board of Directors (the “Board”) of Insignia Solutions PLC (the “Company”) and as Chief Financial Officer. There were no disagreements between Mr. Monk and the Company.
Effective July 25, 2008, Larry Schafran was elected to serve on the Board to fill a vacancy. Mr. Schafran also serves on the Compensation Committee and is the Chairman of the Audit Committee.
