Item 1.01 | Entry into a Material Definitive Agreement |
As previously disclosed, on October 31, 2019, Open Text Corporation (“Open Text”) and certain of its subsidiaries entered into a fourth amended and restated credit agreement (the “Revolver”) by and among Open Text ULC, Open Text Holdings, Inc. and Open Text, as borrowers, the guarantors party thereto, each of the lenders party thereto, Barclays Bank PLC, as administrative agent, collateral agent and swing line lender and Royal Bank of Canada as documentary credit lender. The amendments increased the facility size from $450 million to $750 million, as well as extended the maturity date from May 5, 2022 to October 31, 2024.
This 8-K is being filed in order to file the Revolver as an exhibit. The agreement has been previously described in Open Text’s filings with the Securities and Exchange Commission. The foregoing description of the Revolver is not intended to be complete and is qualified in its entirety by reference to the Revolver, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by reference.
