Associate Stock Purchase Plan, as amended and restated (the “Plan”). Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this registration statement also covers any additional shares of Class A Common Stock that may be offered or issued to prevent dilution as part of any stock split, stock dividend or similar transaction.

In accordance with General Instruction E to Form S-8, this registration statement incorporates by reference the contents of Registration Statement Nos. 333-201523, 333-156850 and 333-70293 on Form S-8 filed with the Securities and Exchange Commission (the “Commission”) by MSC Industrial Direct Co., Inc. (the “Company”) on January 15, 2015, January 22, 2009 and January 8, 1999, relating to shares of Class A Common Stock, $0.001 par value (the “Shares”), issuable pursuant to the MSC Industrial Direct Co., Inc. Associate Stock Purchase Plan (as amended and restated, the “Plan”). This registration statement is being filed to register an additional 350,000 Shares for issuance pursuant to the Plan.
