Item 1.01. | Entry into a Material Definitive Agreement. |
On September 4, 2009, we obtained an extension of our senior secured revolving credit facility (Revolver) to September 30, 2009. We believe the extension will provide the necessary time to complete the asset based loan facility (ABL) currently in process. The ABL will repay in full all outstanding borrowings on the Revolver. We have received a commitment letter from the lead lender for the proposed ABL. The ABL is subject to negotiation and execution of definitive documentation and final credit approval from the other lenders participating in the facility.
The extension agreement is filed herewith as exhibit 10.93.8. A press release announcing the Revolver extension is attached hereto as exhibit 99.1.
