Item 1.01. Entry into a Material Definitive Agreement.
On February 14, 2008, Duke Realty Corporation (the “Company”) entered into a Terms Agreement (including the related Underwriting Agreement, dated as of August 17, 2006, attached as Annex A thereto and made a part thereof, the “Terms Agreement”) with the several underwriters named therein (the “Underwriters”), pursuant to which the Underwriters agreed to purchase from the Company an aggregate of 11,000,000 depositary shares (the “Depositary Shares”), each representing 1/10 of a 8.375% Series O Cumulative Redeemable Preferred Share (par value $0.01) (collectively, the “Series O Preferred Shares”). The Company also granted the Underwriters a 30-day option to purchase an additional 1,650,000 Depositary Shares. The Depositary Shares and the Series O Preferred Shares were registered with the Securities and Exchange Commission (the “Commission”) pursuant to the Company’s and Duke Realty Limited Partnership’s automatic shelf registration statement on Form S-3 (Registration Statement No. 333-136173) (as may be amended and/or supplemented, the “Registration Statement”), under the Securities Act of 1933, as amended (the “Securities Act”).
Pursuant to General Instruction F to the Commission’s Form 8-K, a copy of the Terms Agreement is filed as Exhibit 1.1 to this Current Report on Form 8-K (this “Report”), and the information in the Terms Agreement is incorporated into this Item 1.01 by this reference.
Item 9.01. Financial Statements and Exhibits.
The Terms Agreement listed below and filed as Exhibit 1.1 to this Report also is being filed pursuant to Item 601 of the Commission’s Regulation S-K in lieu of filing the otherwise required exhibits to the Registration Statement. This Form 8-K is incorporated by reference into the Registration Statement, and, as such, Duke Realty Limited Partnership (the “Partnership”) is filing the Terms Agreement to cause it to be incorporated by reference into the Registration Statement as an exhibit thereto. By filing this Report, and the exhibit hereto, however, neither the Company nor the Partnership believes that any of the information set forth herein or in the exhibit hereto represent, either individually or in the aggregate, a “fundamental change” (as such term is used in Item 512(a)(1)(ii) of the Commission’s Regulation S-K) in the information set forth in, and incorporated by reference into, the Registration Statement.
