INVESTMENT CANADA APPROVES
PROPOSED ACQUISITION OF WORLDCOLOR BY QUAD/GRAPHICS
Sussex, Wisconsin and Montreal, Quebec, Quad/Graphics, Inc. (“Quad/Graphics”) and World Color Press Inc. (“Worldcolor”) (TSX: WC, WC.U) announced today that on May 18, 2010, they were advised that the Minister of Industry (Canada) had granted approval under the Investment Canada Act for the previously announced acquisition of Worldcolor by Quad/Graphics. The acquisition, which will be effected by plan of arrangement under the Canada Business Corporations Act (the “Arrangement”), is subject to customary closing conditions for transactions of this type, including receipt of court and shareholder approvals. If all necessary approvals are obtained and the conditions to the completion of the Arrangement are satisfied or waived, it is expected that the Arrangement will be completed in the early summer of 2010.
