On August 10, 2005, PainCare Holdings, Inc. (the "Company"), filed, as authorized by its Board of Directors and Shareholders, with the Florida Department of State, Division of Corporations Articles of Amendment to its Articles of Incorporation. The amendment changed the authorized common stock of the Company from 75,000,000 shares, $.0001 par value to 200,000,000 shares, $.0001 par value. A copy of the Articles of Amendment to the Articles of Incorporation is filed as Exhibit 3(i) hereto and incorporated herein by reference.
