Explanation of Responses:

1. These shares of common stock were withheld by the issuer upon the vesting of two restricted stock awards to satisfy Mr. Wilkinson's payroll tax withholding obligations. Such withholding is treated as a disposition of securities under Section 16 of the Securities Exchange Act of 1934, as amended.

2. The option vests in four equal installments beginning on February 26, 2017, which is the first anniversary of the grant date.
