Item 8.01 Other Events.
On March 17, 2005, the Company issued a press release announcing the pricing of $150 million of 2.0% convertible senior notes due March 30, 2015 under Rule 144A of the Securities Act of 1933, as amended. The Company also intends to grant an option to the initial purchasers to purchase up to an additional $50 million in aggregate principal amount of the notes. A copy of this press release is attached hereto as Exhibit 99.1.
