Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
PG&E Corporation and Pacific Gas and Electric Company (the “Utility”) are filing this Amendment No. 1 on Form 8-K/A to amend their Current Report on Form 8-K filed with the Securities and Exchange Commission on February 10, 2023 and dated as of February 6, 2023.
As previously disclosed, Sumeet Singh was appointed to serve as a member of the Board of Directors and Executive Vice President, Operations and Chief Operating Officer of the Utility, effective March 1, 2023.
On February 16, 2023, in connection with Mr. Singh’s appointment, the Board of Directors of the Utility approved an increased annual base salary for Mr. Singh of $907,813. Mr. Singh will also remain eligible to participate in PG&E Corporation’s annual Short-Term Incentive Plan, as in effect from time to time, with an increased target participation rate of 90% of his base salary. Mr. Singh will remain eligible to participate in PG&E Corporation’s 2021 Long-Term Incentive Plan with an increased target value of $2.6 million for 2023. Mr. Singh will also be eligible to receive executive benefits, as described in PG&E Corporation’s and the Utility’s joint proxy statement.
