Explanation of Responses:

1. Restricted stock units that vest in full on the first anniversary of the grant date.

2. Since the date of the reporting person's last ownership report, he transferred 9,756 shares of the Registrant's common stock pursuant to a domestic relations order. The reporting person no longer reports these securities as beneficially owned by him.

3. Each restricted stock unit represents the contingent right to receive one share of common stock. This transaction represents the settlement of vested restricted stock units in shares of common stock.

4. The derivative securities were granted to the reporting person, and were not sold to the reporting person. As such, the reporting person did not pay any consideration for the derivative securities.
