Section 5 – Corporate Governance and Management
Item 5.02Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
The Mohegan Tribal Gaming Authority (the “Authority”) is governed by a nine-member Management Board, consisting of the nine members of the Mohegan Tribal Council (the governing body of the Mohegan Tribe of Indians of Connecticut (the “Tribe”)). Any change in the composition of the Mohegan Tribal Council results in a corresponding change in the Authority’s Management Board. The registered voters of the Tribe elect all members of the Tribal Council.
On July 24, 2005, the Tribe announced the results of a primary election wherein 18 candidates were chosen as finalists for the Mohegan Tribal Council election to be held in August 2005 with results to be announced on August 28th. All nine seats on the Mohegan Tribal Council will be determined from the August 2005 election. Two current members of the Tribal Council, Christine Damon-Murtha and Shirley M. Walsh, were not elected to be among the 18 finalists and another current Mohegan Tribal Council member, Jayne G. Fawcett, is not seeking re-election. Christine Damon-Murtha, Jayne G. Fawcett and Shirley M. Walsh will each remain as members of the Mohegan Tribal Council until their successors are seated on October 3, 2005.
