Item 7.01Regulation FD Disclosure.
Downs Racing L.P., the owner and operator of the harness racing track known as Mohegan Sun at Pocono Downs, in Plains Township, Luzerne County, Pennsylvania, issued a press release on May 18, 2006 announcing it had, along with its parent the Mohegan Tribal Gaming Authority (the “Authority”), filed public comments to draft temporary regulations proposed by the Pennsylvania Department of Revenue relating to the establishment of procedures for the administration and distribution of slot machine revenue under the Pennsylvania Race Horse Development and Gaming Act. A copy of the press release is attached hereto as Exhibit 99.1. The press release may also be found on the Authority’s website atwww.mtga.com, under “Investor Relations/Financial News.”
