These shares are subject to a vesting restriction, vesting in five equal installments on March 8 of each year from 2017 through 2021, provided that Dr. Brown remains an employee of the Company at such time. The shares may not be sold or otherwise disposed of by Dr. Brown until one year after the applicable vesting date.
